LET'S MAKE OUT
We agree to engage in a cobranding collaboration with an objective to expand the reach and impact of our shared principles and efforts. Each organization can use mutually agreed upon content to share throughout their network. The execution of this sharing will be reviewed by both parties before publication. There will be no commitment to formal objectives for either organization related to this joint collaboration other than a trusted and respectful use of agreed upon Material. We're STOKED you're interested in partnering with us in this capacity!
What follows is some formal language smart people recommended we mention in order to maintain a super cool relationship.
USE PROTECTION - INTELLECTUAL PROPERTIES, MATERIALS, & DEVELOPMENTS
All Material shared between organizations as a result of this relationship (Agreement) remains the property of the organization that has developed or develops the Material. This includes registered and pending intellectual properties and any new Material developments (logos, images, phrases, signage, websites, social media accounts and all content within these examples of platforms, systems, and publications) related to this relationship. If our organizations engage in the development of an all new Material that is substantial (as defined by both parties on a case by case basis) a supplemental agreement (potentially a vendor agreement or the like) will be documented acknowledging property ownership and rights to the new development. If no supplemental agreement is in place for new Material developments, the new Material(s) are the sole property of COBO Bottle. All new and proprietary Material created will be promptly disclosed and shared between organizations in order to respect this collaboration Agreement. Collaborative Material shall not be sold, transferred, or otherwise knowingly used for benefits beyond purposes agreed up on and reviewed before publications.
IF WE BREAK-UP - TIME REQUIREMENTS FOR WITHDRAWAL OF PUBLISHED MATERIAL
We all agree to withdraw or terminate Material publications at first opportunity and within a max of 30 calendar days after a formally acknowledged electronic withdrawal notice or by date of certified mail.
WHEN THINGS GOES SOUTH - MUTUAL INDEMNITY
Each party agrees to indemnify each other from and against any and all losses, liabilities, expenses (including, without limitation, reasonable fees and disbursements of counsel), claims, liens, damages or other obligations whatsoever (collectively, Claims) that may actually and reasonably be payable by virtue of or which may actually and reasonably result from the inaccuracy of any of their respective representations or the breach of any agreements made in this Agreement or in any certificate, schedule or other instrument delivered pursuant to this Agreement; provided, however, that no claim for indemnity may be made hereunder if the facts giving rise to such Claim were in writing and known to the party seeking indemnification hereunder, such facts constituted a breach of the conditions to closing of the party seeking indemnification and the party seeking indemnification elected in any event to consummate the transactions contemplated by this Agreement.
